VEYAY

Veyay Terms of Use

Version: 2026-10-14.3 Effective: When this version is identified as published in Veyay's public legal notice receipt and, for an account holder, after the holder affirmatively accepts this exact version in an authenticated Veyay session.

This is a candidate successor for Veyay, operated by Cabildo Companies LLC. Veyay helps people learn from public-domain, Cabildo-provided or otherwise authorized material through Socratic questions. It does not certify mastery, replace a teacher's or parent's judgment, or supply automatic safeguarding. These bytes take effect only through the exact publication and acceptance process below. Publishing them does not open any group of users; each group opens only on its own separate approval.

Who may use Veyay

Adults. An adult at least 18 years old in the United States may hold an independent Veyay account. An adult may study on their own and may run a class for other adults, as a professor, tutor or co-op teacher, under these terms.

Parents and their children. (Not available yet: parent-managed learner accounts are closed until Veyay separately identifies the applicable age band, jurisdiction, consent version, provider routes and activation record; publication of this notice does not activate them.) If you are at least 18 and head a Veyay household, you may create a learner account for a child who lives in your home and whom you care for as a parent, stepparent, grandparent or other relative, or legal guardian, of any age. A Veyay family is the children who live in one home, full-time or part of the time, whatever shape the family takes. A child who does not live in your home needs a parent, stepparent, grandparent or other relative, or legal guardian in their own home to set up their account. By adding a child, you confirm that the child lives in your home, that you care for the child in one of those ways, and that you have the authority to agree to the child's account and learning. In these Terms and Veyay's notices, "parent" means the eligible adult who set up the child's family account, for account-management purposes only. This label does not establish legal parenthood, guardianship, custody or consent authority. For a child under 13, the required consent must come from a parent or legal guardian within COPPA's meaning; residence, caregiving status and a paid seat alone do not establish that status. The child learns only inside that parent-managed account. A child cannot open an independent account; an account that states an age under 18 is sent to a parent. Veyay relies on the age and location information an account holder provides, together with any age or permission signal the enabled channel supplies. If Veyay learns or has reason to believe that an account is being used by a person under 18, Veyay may suspend the account and require the parent, guardian or institutional authority path before continuing. No adult self-attestation overrides information Veyay actually holds indicating that the user is a minor.

Homeschool families and co-ops. Each family supplies its own authority for the children in its own home. A co-op, group or organizer that brings families together is not a school and is not a guardian; it gains no authority over another family's child by organizing.

Schools and districts. A school or district lane needs its own agreement, signed-consent certification and activation. These terms do not open one, and no school may rely on a family or adult account as its authority.

Adults must give accurate age, location and authority information. Apple age signals, a parent's verification, learning consent and a paid seat are distinct facts, and Veyay checks each one it relies on.

Use only material you are entitled to use, and only the information the feature needs. Do not submit passwords, full payment-card details or another person's private records.

A parent's consent and verification

Before a learner account is created, the parent reads the parent notice in Veyay and affirmatively agrees to it. The parent's purchase of a paid Veyay learner seat is how Veyay verifies the parent who is agreeing. There is no separate email confirmation step. Veyay records the exact notice version, the parent's action, the time and the verification.

The seat is the learner's access as well as the parent's verification. If a seat ends by cancellation at the end of its paid period, the learner's access ends with it; the historical consent record is kept, not rewritten. A full refund, a payment reversal, or a payment dispute decided against the payer ends the seat and the verification that payment funded; a dispute still open, or decided for the payer, does not. The parent may withdraw consent at any time; withdrawal stops the learner's use and does not by itself delete records, which the parent may also ask Veyay to delete.

A parent who manages a learner can see a summary of the learner's work by default, not every conversation. A learner may choose to share a specific session. When a parent also teaches a child in their Veyay family in a family learning room, the parent sees that class's work and conversations as its teacher, as the Guardian and Learner Notices describe.

Parent acceptance. A parent (as defined in "Who may use Veyay") or legal guardian who purchases a learner seat or otherwise creates a learner account represents that the parent is at least 18, has authority to act for the learner, and accepts these Terms both for the parent and, to the extent legally permitted, on behalf of the learner.

The parent remains personally responsible for the parent’s payment, supervision, representations, account activity, uploaded material, indemnity obligations, and other obligations under these Terms. The parent’s acceptance is not inferred solely from the learner’s use of Veyay.

Post-class vaults

(Not available yet: copying class work into a post-class vault is closed until Veyay's activation record identifies this version for the adult lane or the family lane; publication of this notice does not activate it.)

Clause A: an adult, for their own classes

Your own work after a class ends. This applies to classes on Veyay that are not run by a school. If you accepted these Terms before a class you belonged to ended, Veyay, operated by Cabildo Companies LLC, copies your own work from that class into a personal vault for you. A class ends for you when its teacher archives it or you leave it. Nothing is copied earlier than 14 days after that, and if the class is reopened, or you rejoin it, within those 14 days, nothing is copied. Each later class adds to the same vault.

What is copied: what Veyay records as your own written work and reflections in that class, with the class's title and the dates. A message you dictated and then sent counts as your own work. Not copied: teacher feedback, grades, scores, citations, anything an AI model produced (including a transcript of something you recorded aloud), licensed reading material, safety records, and other people's posts. Veyay does not read inside your work to remove things, so anything you put into it yourself, such as a quotation or text you pasted, is copied as you wrote it.

The vault is a personal part of your Veyay account, and you keep whatever rights you have in your work. You can open it and download a copy at no cost, up to 200 openings and 10 downloads in any 24 hours. Being your teacher gives no one access to it. You may share a copy you download.

You can delete one class or the whole vault. What you delete is not copied back. Deleting the whole vault does not stop a later class from starting a new one. Deleting your Veyay account deletes your vault, apart from the limited backup and legal records described in the Privacy Notice.

The vault is kept while it is in use, and deleted 12 months after the later of your last sign-in and the last class added. Your sign-in is the one Cabildo uses across its apps, and staying signed in counts. Cabildo tries to send you a notice about 30 days before, but the deletion happens even if the notice does not reach you.

No AI model is given the vault's contents, they are never used to train an AI model, and Cabildo does not use them to build a profile of you. Cabildo staff may access the vault only as needed to run, secure, fix and support it, to act on a privacy request you make, to look into misuse or a security incident, to follow the law or a valid legal demand, or to protect or defend a legal claim. The companies that host Cabildo's service store it for Cabildo under contract.

Clause B: a parent or guardian, for a child's classes

Your child's own work after a class ends. This section applies only to a class on Veyay that is not run by a school. It applies only if, before the class ended for your child, you were the adult parent or legal guardian linked to your child's Veyay account by a live custodial guardian grant and you accepted a version of these Terms that included this section. A later acceptance does not authorize copying work from a class that had already ended.

Veyay, operated by Cabildo Companies LLC, may copy your child's own work from that class into a personal vault belonging to your child. The vault is subject to the same rules in Clause A about what work is copied, the class information included with it, access by Cabildo and its service providers, AI-model use, training, profile-building, retention, deletion, and limited records that must be kept by law or for security, except where this section states a different rule. The child's live class or session content may be processed as described in the Privacy Notice; that is separate from the post-class vault and does not change the vault's rules.

Until your child's 13th birthday, you may open, export, and delete the vault and individual classes in it. From your child's 13th birthday until the day before the child's 18th birthday, you and your child may open and export the vault, but only your child may delete the vault or a class in it. Deleted work is not copied back. At the child's 18th birthday, your family-lane access ends and the vault is your child's to open, export, and delete under the applicable Terms.

Your access also ends earlier if you no longer have a live custodial guardian grant for your child, your child is no longer your dependent under Veyay's account records, or your acceptance of the Terms version authorizing this child vault is revoked. Ending your access does not by itself delete the child's vault. It stops your authority for future copying under this section. Any continued retention, deletion, backup, legal-record, or provider handling is governed by Clause A, the Privacy Notice, and applicable law.

A parent or guardian who did not provision and is not currently linked to the child by the live custodial guardian grant has no access under this section. If the child is linked to a different parent or guardian, the former parent or guardian's access ends.

If your payment for your child's seat is refunded, reversed, or lost in a dispute, your access and future copying end. A class that ends after the child becomes 18 is not authorized by this section; the adult learner must satisfy the adult Terms and vault requirements then in effect.

Your account

You are responsible for accurate registration information, safeguarding your sign-in method, and activity under your account. A parent is responsible for the learner accounts they create and may block a learner's sign-in. Notify Cabildo promptly if you believe an account has been compromised. Cabildo may require identity or authority verification before disclosing, exporting, correcting or deleting account data.

Veyay keeps your saved work so you can return to it, gives you an export of your records, and lets you delete your account. A parent may export a learner's study-shelf material, household, seat and verification records in Veyay, and may request anything else Veyay holds, a correction, or deletion of a learner's records or account through an available control or by contacting Cabildo. The parent deletion control (a deletion the parent can undo for 30 days, or a permanent deletion that requires a recent sign-in) is not available unless the applicable family lane identifies it as active; until then Cabildo processes a verified request manually. Deletion is subject to the limited survivors described in the Privacy Notice and the retention schedule. From a learner's 13th birthday, only the learner may delete their post-class vault or a class in it through the vault controls, as the post-class vault section says; this does not remove any parental request the law provides, which Cabildo handles subject to that law.

The service and AI output

AI output may be incomplete, unsupported or wrong. Check every response against the source and use your own judgment. Veyay is not an emergency, safeguarding, legal, medical or mental-health service. It is not watched by a person in real time and does not send automatic safety alerts. Contact local emergency services in an emergency.

Your material and your conduct

You keep any rights you hold in what you write or add. You give Cabildo and the service providers named in the Security and Subprocessors page a limited permission to transmit, store and process it only to operate, secure, support and troubleshoot Veyay as the Privacy Notice describes.

You are responsible for what you upload. (Not available yet: personal-study uploads are closed until the upload lane's activation notice identifies this version and confirms that the rights, abuse-material, storage, deletion and provider controls are active; publication of this notice does not activate them.) Anyone who adds material to a personal study shelf, a vault or a class accepts the responsibilities in the Uploaded-Material Rights and Takedown Notice, including covering Cabildo's reasonable losses from a claim about that material. When a parent adds material for a learner, the parent takes that responsibility. Cabildo does not review, screen or monitor what is in a vault; it acts on specific complaints.

You may not use Veyay to break the law; infringe another person's rights; evade age, access or safety controls; probe for another person's data; disrupt the service; automate abusive traffic; or upload material you have no right to use.

Veyay and its software, design and Cabildo-provided materials remain the property of Cabildo or its licensors. These terms give you a personal, revocable, non-exclusive right to use Veyay; they do not transfer ownership.

Seats, renewal and cancellation

A Veyay learner seat is bought by an adult through Veyay's web checkout, run by Stripe. The price, billing period, renewal and cancellation terms are shown before the adult buys. A seat renews automatically at the end of each paid period until it is cancelled. You can cancel at any time in the billing page linked from Veyay; access continues to the end of the period already paid for, and no further charge is made. Cancelling is at least as easy as buying. Cancelling does not refund a payment already made. Except where the law requires a refund, payments are non-refundable. If you believe a charge was made in error, write to the contact below; do not send a card number. A learner never makes a purchase. Non-waivable consumer rights continue to apply.

Each seat includes the curated Veyay collection and a monthly allowance of AI use. When a seat's allowance for a period is used up, Veyay may refuse further AI activity for that seat until the next period.

Your right to export or delete records, and to withdraw consent, survives the end of a seat.

Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Cabildo Companies LLC and its owners, members, officers, employees, contractors, licensors, service providers, and affiliates from and against third-party claims, demands, actions, investigations, losses, liabilities, judgments, settlements, penalties, damages, costs, and reasonable attorneys’ fees arising out of or relating to:

  1. your breach of these Terms;
  2. your unlawful, negligent, fraudulent, or willful use of Veyay;
  3. your account activity or the activity of a person to whom you gave access;
  4. material you upload, submit, display, or cause Cabildo to process;
  5. your failure to obtain rights, permissions, licenses, authority, or consent required for material or information you submit;
  6. your violation of another person’s privacy, publicity, intellectual-property, contractual, or other rights;
  7. a learner account you create or manage, including the learner’s use of Veyay; or
  8. your violation of applicable law.

For uploaded material, this obligation applies specifically to claims that the material, its source, its use, its processing, or its display infringes rights, violates law, contains prohibited material, or was submitted without the required authority.

Cabildo may assume exclusive control of the defense and settlement of an indemnified claim. You must reasonably cooperate with that defense. Cabildo will not settle a claim in a manner that admits your personal liability or imposes a non-monetary obligation on you without your written consent, not to be unreasonably withheld. You may not settle an indemnified claim or make an admission on Cabildo’s behalf without Cabildo’s prior written consent.

Cabildo may participate in the defense with counsel of its choice at its own expense. Cabildo’s failure to provide immediate notice does not eliminate your obligations unless the delay materially prejudices your ability to defend.

You are not required to indemnify a person protected by this section for a claim to the extent the claim was caused by that person’s gross negligence, willful misconduct, fraud, or conduct that applicable law does not permit Cabildo to shift to you. This section does not require a child to indemnify Cabildo. A parent’s obligations under this section are limited to obligations the parent may lawfully accept for the parent and the parent-managed learner account.

Disclaimers

AI output and educational use

Veyay uses automated systems, including artificial-intelligence systems, to generate questions, explanations, summaries, suggestions, and other output. AI output may be inaccurate, incomplete, outdated, unsupported, misleading, or inappropriate for a particular learner or situation. It may contain errors that are not obvious.

You must independently review and verify AI output before relying on it, sharing it, submitting it, or using it to make an educational, disciplinary, health, safety, legal, financial, or other important decision. Do not treat AI output as a statement of fact merely because it is stated confidently.

Veyay's AI coach is not a teacher, school, emergency service, safeguarding service, medical provider, mental-health provider, legal adviser, or other professional adviser. Veyay output is not professional advice and is not a substitute for a qualified teacher’s instruction, a parent’s supervision and judgment, or professional advice when professional advice is appropriate.

Parents and other adults remain responsible for deciding whether Veyay is suitable for a learner, reviewing the learner’s use where appropriate, checking important output, and responding to safety, health, emotional, or educational concerns. Veyay does not monitor conversations in real time and does not provide automatic safety alerts.

Cabildo does not promise any particular grade, score, skill, educational outcome, mastery, admission result, credential, or other result from using Veyay.

Availability and changes

Veyay is provided on an “as is” and “as available” basis. Cabildo does not promise that Veyay will be uninterrupted, timely, available at a particular time or place, compatible with every device or system, error-free, or free from harmful code.

Cabildo may maintain, modify, limit, suspend, or discontinue all or part of Veyay, including a feature, model, content collection, provider, allowance, or account lane. Cabildo will use reasonable efforts to provide notice of a material planned closure and an opportunity to export available records when circumstances permit. Cabildo may act without advance notice when necessary for security, legal compliance, rights protection, abuse prevention, or an operational emergency.

Third-party providers

Veyay depends on third-party providers, including hosting, payment, communications, document-processing, analytics, security, and AI providers. Those providers may change, suspend, or limit their services. Cabildo is not responsible for a third party’s independent acts, omissions, policies, services, or failures, except to the extent applicable law makes Cabildo responsible.

Third-party services may have their own terms and privacy disclosures. Cabildo does not make a separate warranty about a third-party service.

Security

Cabildo uses reasonable measures intended to protect Veyay. No method of transmission, storage, authentication, or electronic processing is completely secure, and Cabildo cannot promise that Veyay or information submitted to it will never be accessed, altered, lost, disclosed, or disrupted without authorization.

Warranty disclaimer

To the maximum extent permitted by law, Veyay and all related content, output, features, and services are provided “as is” and “as available,” without warranties of accuracy, availability, merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, or any particular educational result.

Nothing in these Terms disclaims a warranty or right that applicable law does not permit Cabildo to disclaim.

Limitation of liability

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS THE DAMAGES CABILDO MAY OWE, INCLUDING FOR CLAIMS ARISING FROM A SECURITY INCIDENT.

To the maximum extent permitted by law, Cabildo Companies LLC and its owners, members, officers, employees, contractors, licensors, service providers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, reputation, anticipated savings, or data, arising out of or relating to Veyay, these Terms, an account, a seat, uploaded material, AI output, or the inability to use the service.

To the maximum extent permitted by law, Cabildo’s total aggregate liability to the person bringing a claim, for all claims arising out of or relating to Veyay or these Terms, including claims arising from or relating to a security incident, will not exceed the amount that the person or that person’s household paid to Cabildo for Veyay during the 12 months before the event giving rise to the claim.

The limitation in this section applies regardless of the legal theory asserted, including contract, warranty, tort, negligence, strict liability, statute, or any other theory, and even if Cabildo was advised that the damages might occur.

These limitations do not apply to liability that cannot lawfully be limited, or to Cabildo’s gross negligence, willful misconduct, or fraud. Nothing in these Terms limits a child’s non-waivable rights or a regulator’s authority.

Disputes; arbitration; class waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED IN INDIVIDUAL ARBITRATION, WAIVES A JURY TRIAL, AND LIMITS CLASS, COLLECTIVE, REPRESENTATIVE, AND MASS ACTIONS.

Informal resolution first

Before starting arbitration or filing a lawsuit, the person asserting a dispute must send Cabildo a written notice describing the dispute, the facts supporting it, and the requested resolution. The notice must be sent to:

Cabildo Companies LLC, Attention: Legal 2014 Electric Rd, #249, Roanoke, VA 24018, United States support@veyay.app

Cabildo will have 30 days after receiving the notice to respond. This informal-resolution process does not prevent either party from seeking temporary or emergency relief from a court, and it does not shorten any applicable filing deadline. The parties may mutually agree in writing to extend this period.

Individual arbitration

Except for the claims listed below under “Claims that are not required to be arbitrated,” any dispute, claim, or controversy arising out of or relating to Veyay, these Terms, an account, a seat, uploaded material, or the parties’ relationship must be resolved by binding, individual arbitration, rather than in court.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect when the arbitration is filed, as modified by these Terms. The AAA Consumer Arbitration Rules are available at www.adr.org or by contacting Cabildo.

The arbitration will ordinarily be conducted remotely or on written submissions. If a hearing is required, it will be conducted remotely unless the arbitrator determines that an in-person hearing is necessary. The legal seat of the arbitration is Roanoke, Virginia. An in-person hearing, if any, will take place in Roanoke, Virginia, unless the parties agree otherwise or the arbitrator determines that another location is required by applicable law.

The arbitrator, and not a court, will decide disputes about the interpretation, applicability, enforceability, or scope of this arbitration provision, including whether a dispute is arbitrable and whether these Terms apply. A court will decide only disputes about whether the parties formed an agreement to arbitrate and whether the class, collective, representative, or mass-action waiver below is enforceable.

The arbitrator may award any relief that would be available to the person bringing the claim individually in a court of law, including individual injunctive or declaratory relief. The arbitrator may not award relief affecting people who are not parties to the arbitration.

Class, collective, representative, and mass-action waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THAT PARTY’S INDIVIDUAL CAPACITY.

Neither party may:

The arbitrator may not conduct a class, collective, representative, consolidated, coordinated, or mass arbitration or award relief to anyone other than the individual claimant.

Mass-arbitration procedures

If 25 or more substantially similar arbitration demands are filed against Cabildo by the same or coordinated counsel or are otherwise coordinated, the parties agree that those individual arbitrations will be administered in batches, for case management only, under the AAA’s Supplementary Rules for Multiple Case Filings then in effect, if applicable, together with the following procedures:

  1. The AAA will group the demands into batches of no more than 25 cases.
  2. The parties will first select up to 10 cases for an initial test batch, with each side permitted to propose five cases, subject to the AAA’s approval.
  3. The initial test batch will proceed to individual arbitration.
  4. The remaining demands will be stayed while the initial test batch proceeds, unless the parties agree otherwise.
  5. After the initial test batch, the parties will participate in at least 60 days of mediation concerning the remaining demands.
  6. If the parties cannot resolve the remaining demands, subsequent batches may proceed under the AAA’s applicable procedures.
  7. Nothing in this subsection permits a class, collective, representative, consolidated, or mass arbitration. Every case remains an individual arbitration.

A court may determine that this mass-arbitration procedure is unenforceable without invalidating the requirement of individual arbitration or the class and representative-action waiver.

Arbitration fees

Cabildo will pay the arbitration filing, case-management, and arbitrator fees to the extent required by the AAA Consumer Arbitration Rules or applicable law. A consumer will not be required to pay more in arbitration fees than the consumer would have paid to file an individual claim in a court of competent jurisdiction.

Each party will ordinarily pay its own attorneys’ fees and costs. The arbitrator may award attorneys’ fees or costs where authorized by applicable law, the AAA rules, or these Terms. Cabildo may seek fees or costs for a claim only where the arbitrator determines that the claim or proceeding was frivolous, brought for harassment, or lacked a reasonable basis.

Opting out of arbitration

You may opt out of this arbitration provision within 30 days after you first accept these Terms by emailing support@veyay.app from the email address on your account, with your name and a statement that you opt out of arbitration. A parent may opt out for the parent and the parent-managed learner account. Opting out does not affect any other part of these Terms, including the class, collective, representative and mass-action waiver as it applies to a dispute in court.

Small-claims court

Instead of arbitration, and notwithstanding the court-venue provision below, an individual may bring an eligible claim in that person’s local small-claims court if the claim qualifies for that court, is brought only on an individual basis, and remains in that court. Either party may request that an eligible small-claims claim be transferred to arbitration, and the request will be decided under the applicable law and court rules.

A small-claims action does not permit a class, collective, representative, consolidated, coordinated, or mass proceeding.

Claims that are not required to be arbitrated

This arbitration provision does not require arbitration of:

A regulator may investigate, bring, or pursue a claim on behalf of the public or a person even if that person is bound by this arbitration provision. This section does not waive any right a regulator has to enforce applicable law.

Parents, learners, and children

A parent (as defined in "Who may use Veyay") or legal guardian who creates or pays for a learner account agrees to these Terms:

  1. for the parent’s own account and obligations;
  2. on behalf of the learner, to the extent the parent has authority to do so;
  3. that the learner’s use of Veyay is subject to these Terms; and
  4. that the parent is responsible for the learner’s use of the account and for the parent’s obligations under these Terms.

The parent does not personally waive a child’s non-waivable legal rights. To the extent applicable law permits a parent or guardian to agree to arbitration, a class waiver, or other dispute provisions on behalf of a child, the parent does so here. To the extent applicable law does not permit the parent to bind the child, the child’s claim will be governed by the dispute procedure that applicable law permits, and the remainder of this section will continue to apply to the parent and to claims the parent may lawfully bring.

A child who did not personally accept these Terms is not required by this section to waive a non-waivable right or remedy. A parent’s acceptance remains binding on the parent and governs claims brought by the parent, including claims concerning the learner account, payment, consent, supervision, or the parent’s own alleged injury.

Severability

If any part of the arbitration provision is found unenforceable, the remaining portions will remain in effect to the fullest extent permitted by law.

If the class, collective, representative, or mass-action waiver is found unenforceable as to a particular claim or claimant, that claim may proceed only in court and only on an individual basis, unless applicable law requires a different result. The waiver is not severable in a way that permits an arbitrator to conduct a class, collective, representative, consolidated, coordinated, or mass arbitration.

If the prohibition on representative claims (claims brought on behalf of the public or other people) is found unenforceable, the representative claim will proceed in court, and the arbitration requirement will remain enforceable as to the claimant’s individual claims to the maximum extent permitted by law.

Jury waiver

For any dispute permitted to proceed in court, each party knowingly and voluntarily waives the right to a jury trial to the maximum extent permitted by law.

Time limit for claims

To the maximum extent permitted by law, a claim arising out of or relating to Veyay or these Terms must be filed within one year after the event giving rise to the claim occurred. Claims not filed within that period are permanently barred.

This deadline does not shorten a period that applicable law prohibits Cabildo from shortening, including any non-waivable deadline applicable to a child, a regulator, or a claim that cannot lawfully be waived.

Governing law and court venue

Virginia law governs these Terms and any dispute, without regard to conflict-of-law rules, except that applicable non-waivable consumer-protection, privacy, employment, child-protection, or similar law may apply where required.

For any matter permitted to proceed in court, the parties consent to exclusive jurisdiction in the state courts located in the City of Roanoke, Virginia, or the United States District Court for the Western District of Virginia, Roanoke Division, unless applicable law requires another forum.

Assumption of risk and no reliance

You understand that Veyay is an educational tool that uses automated systems and that use of it involves risks, including inaccurate, incomplete, delayed, unsuitable, or unavailable output. You assume those risks to the maximum extent permitted by law.

You have not relied on any statement not expressly included in these Terms, the applicable Privacy Notice, or a specific written agreement signed by Cabildo. Nothing in this section excludes liability for fraud or any representation that applicable law does not permit Cabildo to exclude.

Acceptable use and enforcement

Cabildo may investigate suspected misuse and may remove material, limit features, suspend access, close an account, or refuse an activity if Cabildo reasonably believes that doing so is necessary to protect a person, learner, rights holder, provider, system, account, or the service; comply with law; respond to a complaint; prevent fraud or abuse; or enforce these Terms.

Cabildo is not required to monitor Veyay or review vault contents. Cabildo may act on specific complaints, automated signals, legal demands, or information reasonably available to it. Cabildo may preserve information where reasonably necessary for security, dispute resolution, legal compliance, or the protection of rights.

Force majeure

Cabildo is not responsible for delay, interruption, or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, government action, public-health events, utility or telecommunications failures, internet disruption, provider failure, cyberattack, denial-of-service attack, or other force majeure event.

Assignment

You may not assign, transfer, delegate, or sublicense these Terms or an account without Cabildo’s prior written consent. Cabildo may assign or transfer these Terms, an account relationship, or its rights and obligations in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer to an affiliate or successor.

Survival

Provisions that by their nature should survive termination will survive, including provisions concerning payment obligations, ownership, uploaded material, indemnity, disclaimers, limitations of liability, dispute resolution, governing law, confidentiality, records, and enforcement.

Electronic communications and records

You agree to receive notices, disclosures, records, receipts, account communications, and legally required communications electronically through Veyay, email, or another contact method associated with your account. You may withdraw consent to electronic communications by contacting Cabildo, but doing so may prevent continued use of Veyay where electronic communications are necessary to operate the account or provide required notices.

Electronic records of acceptance, consent, purchases, notices, account activity, and communications may be used as evidence of those events.

Suspension and termination

You may stop using Veyay at any time. Cabildo may suspend or terminate access, an account, a seat, or a feature for breach of these Terms, nonpayment, suspected fraud or abuse, legal requirements, security reasons, rights complaints, provider limitations, or operational reasons.

Where reasonable and lawful, Cabildo will provide notice and an opportunity to correct a breach. Cabildo may act immediately where delay could cause harm, create legal exposure, compromise security, affect a learner, or interfere with an investigation.

Termination does not eliminate amounts already owed or rights and obligations that accrued before termination. Subject to the Privacy Notice and applicable retention requirements, Cabildo will handle records after termination as described in the Privacy Notice.

No third-party beneficiaries

Except for the Cabildo parties expressly protected by the indemnity and limitation-of-liability provisions, these Terms do not create third-party-beneficiary rights. A learner may receive access through a parent-managed account, but the learner is not thereby granted a separate contractual right against Cabildo beyond rights that applicable law provides.

Entire agreement; severability; waiver

These Terms, the Privacy Notice, the applicable parent or learner notice, the Uploaded-Material Rights and Takedown Notice, and any agreement expressly incorporated by reference are the entire agreement concerning Veyay and supersede prior agreements concerning the same subject.

If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, if modification is permitted, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of future enforcement.

Changes and acceptance

The public notice receipt identifies the version and source-packet SHA-256 published for Veyay. Using the interactive demonstration after publication means accepting the terms that apply to it. Reading an information page alone is not account acceptance.

An adult account opens only after Veyay shows the exact active Terms and Privacy Notice and records on the server the adult's age-18-or-older and United States attestations, the AI-processing permissions Veyay asks for (for the coach, Microsoft Azure; for speech-to-text when the adult chooses to speak, Mistral AI, with Microsoft Azure Speech only as a fallback; for document reading on the adult's own study shelf, Mistral AI), the affirmative acceptance action, the time, the version and the packet hash. A parent's consent for a learner is recorded separately, as described above, and is never inferred from the parent's own acceptance. A parent's acceptance of a Terms version that includes the post-class vault section for their child is recorded on its own, apart from the parent-notice consent; where both apply, both are required, and neither is inferred from the learner's use. A stale, missing or revoked acceptance or consent does not authorize use.

A material change requires a new version and hash. It applies going forward, after publication, renewed acceptance in the product where required, and any notice the law requires.

Cabildo may update these Terms by publishing a new version and identifying its effective date. A material change will apply prospectively after Cabildo provides the notice required by law and, where required, obtains renewed acceptance in Veyay. A change will not retroactively alter a dispute that arose before the change unless the parties separately agree or applicable law permits it.

If a change requires acceptance and you do not accept it, Cabildo may end or restrict the affected account or feature after giving any notice required by law. Continued use after the effective date of a change that does not require renewed acceptance constitutes acceptance to the extent permitted by law.
